Terms of Service

01.Definitions
In these Terms, the following definitions apply:
- "Constrix", "we", "us", or "our" refers to the Constrix platform and its operators.
- "Service" means the Constrix AI governance runtime platform, including the evaluation API, CAPL audit system, policy engine, Admin Portal, and all related software.
- "Customer" or "you" means the individual or entity that creates an account and uses the Service.
- "Authorized Users" means individuals permitted by the Customer to access the Service under the Customer's account.
- "Policies" means the Rego-based governance rules you create and deploy within the Service.
- "CAPL" (Constitutional Audit Provenance Log) means the cryptographically sealed audit record produced by each evaluation.
- "Evaluation" means one call to the /v1/evaluate API endpoint.
02.Acceptance and Eligibility
By creating an account, you confirm that (i) you are at least 18 years of age or the age of majority in your jurisdiction; (ii) you have the authority to bind your organization to these Terms if you are registering on behalf of an entity; and (iii) your use of the Service will comply with all applicable laws and regulations.
We reserve the right to refuse or terminate access to the Service at our sole discretion if we reasonably believe you have violated these Terms.
03.The Service
Constrix provides a constitutional AI governance runtime that enables organizations to enforce deterministic, cryptographically-sealed governance policies on AI system interactions. The Service includes:
- An 8-stage evaluation pipeline producing one of four outcomes: allow, restrict, deny, or kill.
- A Rego-based policy engine for authoring and enforcing governance rules.
- CAPL: Ed25519-signed, CBOR-encoded audit logs for every evaluation.
- REST API and Go SDK for integration with AI systems.
- A multi-tenant management portal for policy and account administration.
We may update, modify, or discontinue features of the Service at any time with reasonable notice where practicable.
04.Subscriptions, Billing and Quotas
The Service is available under the following subscription plans. Plan details are subject to change with 30 days' notice to existing subscribers.
- Free: 10,000 evaluations/month, 5 policies, 30-day CAPL retention. No credit card required.
- Starter ($299/month): 500,000 evaluations/month, 50 policies, 90-day CAPL retention. Overage billed at $0.50 per 1,000 additional evaluations.
- Pro ($1,499/month): 5,000,000 evaluations/month, 500 policies, 365-day CAPL retention. Overage billed at $0.50 per 1,000 additional evaluations.
- Enterprise (custom pricing): Unlimited evaluations and policies, custom CAPL retention, 99.99% uptime SLA, dedicated support.
Subscriptions are billed monthly in advance. Overage fees are calculated and invoiced at the end of each billing month. All fees are non-refundable except as required by applicable law. You are responsible for all applicable taxes.
Evaluations do not roll over between billing months. Batch evaluations count as one evaluation per item in the batch. Internal system calls (health checks, bundle refreshes) do not count toward your quota.
05.Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You must not:
- Use the Service to facilitate illegal activities or violate any applicable law.
- Attempt to circumvent, disable, or interfere with the governance enforcement mechanisms of the Service.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to develop a competing product or service.
- Transmit malicious code, viruses, or any content that could damage the Service or other users.
- Exceed your subscription quota by means other than the authorized overage billing mechanism.
- Share API keys or access credentials with unauthorized parties.
06.API Rate Limits and Fair Use
The Service enforces API rate limits of 1,000 requests per second with a burst allowance of 200 requests per instance. Requests exceeding rate limits will receive an HTTP 429 response with a Retry-After header.
We reserve the right to throttle or suspend access for accounts whose usage patterns place unreasonable load on shared infrastructure, even within their quota.
07.Intellectual Property
Our IP: The Constrix platform, software, APIs, documentation, trademarks, and all related technology are and remain the exclusive property of Constrix and its licensors. These Terms do not grant you any ownership rights in the Service.
Your IP: You retain full ownership of your Policies, evaluation inputs, and any data you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service.
Feedback: If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback without restriction or compensation to you.
08.Data and Audit Logs
CAPL audit entries produced by your evaluations are stored for the duration defined by your subscription plan and are accessible to you via API during that retention window. After the retention period expires, CAPL entries are permanently deleted.
CAPL entries are cryptographically sealed (Ed25519, CBOR) by the Service. The seal guarantees tamper-evidence but does not constitute a warrant for any legal proceeding unless supported by appropriate evidentiary procedures in your jurisdiction.
You are responsible for exporting any CAPL data you need before your retention window expires. We are not liable for data loss resulting from your failure to export data within the retention period.
09.Service Availability and SLA
We target high availability for the evaluation API, but we do not guarantee uninterrupted service for Free, Starter, or Pro plans. Planned maintenance will be communicated via our status page at status.constrix.ai.
Enterprise customers receive a 99.99% uptime SLA as defined in their Enterprise Service Agreement. SLA credits are the exclusive remedy for availability failures.
10.Confidentiality
Each party agrees to protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information (no less than reasonable care). Neither party will disclose the other's Confidential Information to third parties without prior written consent, except as required by law.
Confidential Information does not include information that: (i) is or becomes publicly known without breach of any obligation; (ii) was known before disclosure; or (iii) is independently developed without use of the Confidential Information.
11.Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT ERROR, OR THAT GOVERNANCE POLICIES WILL PREVENT ALL UNINTENDED AI BEHAVIOR IN ALL CIRCUMSTANCES. YOU ARE RESPONSIBLE FOR TESTING AND VALIDATING YOUR POLICIES.
12.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONSTRIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
13.Indemnification
You agree to indemnify, defend, and hold harmless Constrix and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from (i) your use of the Service; (ii) your Policies or evaluation inputs; (iii) your violation of these Terms; or (iv) your violation of any third-party rights.
14.Termination
You may terminate your account at any time by contacting support@constrix.ai or through your account settings. Termination takes effect at the end of your current billing cycle; no refund is provided for unused time.
We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees when due, or if required by law. Upon termination, your right to use the Service ceases immediately. CAPL data will be retained until the end of your plan's retention period, after which it is permanently deleted.
15.Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable commercial law. Any disputes arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration or, where mandatory consumer protection laws require, before the courts of competent jurisdiction.
16.Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email to the address on your account or through a notice in the Admin Portal at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
